White Label Reseller

A Reseller who purchases, at Sprint Convergence’s applicable wholesale rates, Telecommunication

Services from Sprint Convergence and enters into its own contracts with its Customers for the

supply of such Telecommunications Services. The White Label Reseller is responsible for managing

its relationships with its customers, including all sales and marketing activities, providing the

Telecommunications Services, setting its own prices, billing and providing support to its customers.

Sprint Convergence will be responsible for providing to the White Label Reseller the

Telecommunication Services under the terms of the appropriate, attached, service-specific

Supplement(s), which form(s) part and parcel of this Agreement.

Channel Partner

A Reseller who purchases, at Sprint Convergence’s applicable wholesale rates, Professional

Services from Sprint Convergence and enters into its own contracts with its customers for the supply

of such Professional Services. The Channel Partner is responsible for managing its relationships

with its customers, including all sales and marketing activities, setting its own prices, billing and

providing support to its customers. Sprint Convergence will be responsible for providing to the

Channel Partner the Professional Services under the terms of the appropriate, attached, servicespecific

Supplement(s), which form(s) part and parcel of this Agreement.

Direct Dealer

A Reseller who is authorised by Sprint Convergence to identify potential clients on its behalf. If the

potential client is converted to an Indirect client of Sprint Convergence, the client will also become a

customer of the Direct Dealer. The Direct Dealer is responsible for managing its relationships with its

customer, including all sales and marketing activities, setting its own prices and providing support to

its customers. Sprint Convergence will enter into a contract with the Indirect client for the supply of

the Telecommunications Services and will bill the Indirect client for the supply of such, at the Direct

Dealer’s prevailing retail rates. The Direct Dealer’s commission shall be the difference between its

retail rate and Sprint Convergence’s applicable wholesale rate.

Referral Partner

An agent who is authorised by Sprint Convergence to identify potential clients on its behalf. If the

potential client is converted to a Direct Client of Sprint Convergence, the Referral Partner shall be

paid a commission as set out on the order. Sprint Convergence shall be responsible for managing

the relationship with the Direct Client, including pre-contract negotiation activities, entering into a

contractual relationship, providing the Telecommunications Services, setting prices, billing and

providing support.


Benefit Partner

A Reseller to whom Sprint Convergence provides Telecommunication Services and who enters into

its own contracts with its customers for the onward supply of such Telecommunications Services.

The Benefit Partner is responsible for managing its relationships with its customers, including all

sales and marketing activities, providing the Telecommunications Services and setting its own

prices. Sprint Convergence will be responsible for billing the customer and providing a white-labelled

Helpdesk Service to the customer on behalf of the Benefit Partner and providing to the

Benefit Partner the Telecommunication Services under the terms of the appropriate, attached,

service-specific Supplement(s), which form(s) part and parcel of this Agreement.
